Terms & Conditions
These terms govern your use of TranspoX. They are a contract between your business and ours, so the clauses on liability, statutory documents and payment are worth reading properly.
Last updated: 1 September 2026
1. Who these terms are between
These terms are between [REGISTERED COMPANY NAME] (“TranspoX”, “we”), registered office [REGISTERED ADDRESS], and the business that creates an account (“you”, “your organisation”). They form a contract under the Indian Contract Act, 1872 when you create an account or use the service.
By accepting them you confirm you are at least 18 years old and authorised to bind your business.
2. What the service is — and is not
TranspoX is software for recording and managing transport work: bookings, consignment notes, challans, loading slips, freight bills, warehouse movements, payments and ledgers.
TranspoX does not carry goods. We are not a transporter, carrier, freight forwarder, booking agent or common carrier, and nothing in the service makes us a party to the contract of carriage between you and your customer. We have no liability for the goods, the vehicle, the driver, the delivery, or any loss, damage, delay, detention, pilferage or non-delivery. The obligations of a carrier, including under the Carriage by Road Act, 2007, apply to you and not to us.
3. Documents the software generates
The consignment notes, challans, loading slips, freight bills and QR codes produced by TranspoX are your documents. We render what you enter, on your letterhead, in a layout you choose.
- You are responsible for the accuracy of everything printed on them, including consignor and consignee details, goods description, weight, freight and tax figures.
- You are responsible for your own statutory compliance — GST registration and returns, e-way bill generation under the GST rules, permits, insurance and transport licensing. Recording an e-way bill number in TranspoX is not the same as generating one.
- We do not verify or validate your entries, and we do not file anything with any government portal on your behalf.
- Document numbering is sequential within your account. If a particular rule requires a specific series, configuring and checking it is your responsibility.
4. Your account and your staff
Accounts are secured by a mobile number, a one-time password and a PIN you choose. You are responsible for keeping your PIN secret and for everything done through your account and through the accounts of staff you invite.
You control what each staff member can see and do through the roles and permissions in the app; setting those correctly is your responsibility. Tell us at once if you believe an account has been compromised.
5. Plans, fees and taxes
- Plans and prices are as published on our pricing page. The Free plan is offered at no charge, with the limits stated there.
- Paid plans are billed in advance, per organisation, for the billing period you select. Prices are exclusive of GST unless stated otherwise; GST is charged at the applicable rate and a tax invoice is issued.
- Payments are collected through our payment gateway. A paid subscription renews automatically at the end of each period until it is cancelled.
- We may change prices on at least [30 DAYS] notice. A change takes effect from your next billing period, never in the middle of one you have paid for.
- You are responsible for any withholding tax that applies to you; amounts payable to us are net of it.
6. Cancellation and refunds
You may cancel at any time from within the app or by writing to us. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
Fees already paid are not refundable for a partial period, except where a refund is required by law, or where we have failed to provide the service and could not put it right within a reasonable time. Where a refund is due, it is returned to the original payment method within [7 WORKING DAYS].
7. Your data
Everything your business records in TranspoX belongs to you. We claim no ownership of it, and you grant us only the licence we need to host, process, back up and display it in order to run the service for you.
You can export your records at any time. After your account ends we retain and delete data as described in our Privacy Policy.
Where your records contain personal data about other people — your parties, drivers, consignees — your business is the Data Fiduciary and we act as your Data Processor. Having a lawful basis to collect and enter that data is your responsibility.
8. Acceptable use
You agree not to:
- use the service for anything unlawful, or to create false, forged or misleading documents;
- record data you have no right to record, or use it in breach of the Digital Personal Data Protection Act, 2023;
- attempt to reach another organisation’s data, probe or bypass our access controls, or test our security without written permission;
- resell, sublicense or white-label the service without our written agreement;
- copy, decompile or reverse engineer the software, or extract data at scale by automated means;
- overload the service or use it in a way that degrades it for other customers.
9. Availability and support
We work to keep the service available but do not guarantee uninterrupted access. Planned maintenance is notified in advance where practical. The Free plan is provided as-is, with no availability commitment.
Support is provided by [SUPPORT CHANNEL AND HOURS]. An uptime commitment applies only where we have agreed one with you in writing.
10. Suspension and termination
- Non-payment. If a payment fails we will tell you. If it remains unpaid we may place the account in read-only mode: you can still see and export your records, but not create new ones. Full access returns when the amount is cleared.
- Breach or misuse. We may suspend or terminate an account that breaches these terms, is used unlawfully, or endangers the service or other customers. Where the circumstances allow, we give notice and a chance to put it right first.
- By you. You may stop using the service at any time, subject to clause 6.
- After termination we keep your data for [90 DAYS] so that you can export it, then delete it in line with our Privacy Policy and the retention periods tax law requires.
11. Intellectual property
The software, its design, its document templates and the TranspoX name and marks remain ours. These terms grant you a limited, non-exclusive, non-transferable right to use the service for the duration of your subscription, and nothing more.
12. Warranties and liability
The service is provided on an “as is” and “as available” basis. To the extent the law permits, we exclude implied warranties, including fitness for a particular purpose.
We are not liable for loss of profit, loss of business, loss of goods, loss of data caused by your own actions, or any indirect or consequential loss. In particular we are not liable for any claim arising from the carriage of goods, from a document you generated, or from your own statutory non-compliance.
Our total liability for all claims arising in any twelve-month period is limited to the fees you actually paid us in the twelve months before the claim arose. On the Free plan, our total liability is limited to [₹1,000].
Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence, and nothing here affects rights you may have as a consumer under the Consumer Protection Act, 2019.
13. Indemnity
You will indemnify us against claims brought by a third party — including your customers, a consignee, a driver, or a regulator — arising from your use of the service, the data you entered, the documents you issued, or your breach of these terms.
14. Events outside our control
Neither party is liable for a failure to perform caused by an event beyond its reasonable control, including internet or power failure, failure of a third-party provider, natural disaster, epidemic, strike, war or government action.
15. Governing law and disputes
These terms are governed by the laws of India. We will try to resolve any dispute informally first — please write to us before taking any other step.
Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is [CITY] and the proceedings will be in English. Subject to that, the courts at [CITY] have exclusive jurisdiction.
16. General
- We may update these terms. Material changes are notified at least 15 days in advance, and continuing to use the service after they take effect means you accept them.
- You may not assign these terms without our consent. We may assign them to a group company or in connection with a sale of the business.
- If any clause is held unenforceable, the rest continues to apply.
- These terms, the Privacy Policy and the plan you subscribed to are the whole agreement between us.
